Terms and Conditions of Engagement

This document outlines the terms and conditions of engagement between Niti Legal Advisory and its clients. Please read these terms carefully before engaging our services.

Contractual Effect

This letter constitutes a legally binding agreement and shall take effect immediately upon signature by both parties. It shall remain in force until completion of the agreed Scope of Work, unless terminated in accordance with these terms

Payment Terms

All fees are payable in full and in advance upon execution of this agreement.

Refund Policy

Fees paid under this Agreement are non-refundable. In the event the Client elects to cancel the services, or if the services cannot be rendered at the relevant time for any reason, the full amount paid shall be retained as a credit on the Client's account. Such credit may be applied toward future services provided by Niti Legal Advisory, subject to availability and mutual written agreement.

Limitation of Liability

Niti Legal Advisory shall not be liable for any errors or omissions arising from inaccurate, incomplete, or misleading information provided by the Client or the Client's representatives.

Responsibility Regarding Authorities and Third Parties

The Company accepts no liability for decisions, actions, or omissions of Thai or foreign governmental authorities in connection with this engagement. Furthermore, the Company assumes no responsibility for the use or reliance upon its services by any third party and shall not be liable to any third party under any circumstances.

Delegation of Tasks

While the designated Case Officer and Co-Worker (if any) will have primary responsibility for the Scope of Work, the Company reserves the right to assign additional personnel, at its discretion, to assist in carrying out the services.

Delivery Timescales

Any timeframes or delivery estimates provided at the outset of the engagement are indicative only and shall not be considered guaranteed deadlines.

Termination of Services

Subject to the Company's professional and legal obligations to the Client, and in order to maintain appropriate professional standards, the Company reserves the right to terminate its services for good cause, including but not limited to the following circumstances:

• The Client fails to comply with reasonable requests or to provide necessary cooperation;

• Continued representation would be unethical, unlawful, or impracticable; or

• The Client fails to settle invoices when due.
